1. ABOUT THESE TERMS

These Terms of Use ("Terms") govern your access to and use of the website at perfectparadox.co.uk (the "Website") operated by Perfect Paradox Ltd ("Company", "we", "us", "our"), and the ways in which you can obtain and use our software and services.

By accessing or using this Website, you agree to be bound by these Terms. If you do not agree, please do not use this Website.

Perfect Paradox delivers software in four ways, each with a different commercial and legal model:

  • (a) Cloud AI (bring your own key) — Mac apps that run on your own machine and connect to a third-party AI provider using your own API key. Your data goes wherever you direct it; it never passes through Perfect Paradox. One-time purchase.
  • (b) Self-hosted — software you install and run on your own server or infrastructure. Your data does not leave your infrastructure. One-time purchase.
  • (c) Hosted by us (subscription) — services that Perfect Paradox hosts and operates for you on a private, isolated instance (for example C0RTEX, a web chat assistant, and SYN4PSE, a voice service — "coming soon"). Billed as a monthly subscription. For these services Perfect Paradox acts as a data processor and you act as the data controller.
  • (d) Local — Mac apps that run entirely on your machine; your files do not leave your device. One-time purchase.

How these Terms are structured. Sections 1–10 below govern this Website and our buy-once Mac apps and self-hosted software (models (a), (b) and (d)). Section 11 sets out the additional Hosted Services Terms that apply to our hosted subscription services (model (c)). Where there is any conflict, the Hosted Services Terms (and the C0RTEX-specific documents they reference) prevail in relation to those hosted services.

Each product is additionally governed by its own product terms or End User License Agreement ("EULA"), presented before or at the time of purchase or subscription.

Software purchases and subscriptions are processed by our online reseller Paddle.com, which is the Merchant of Record for all orders: Paddle handles checkout, invoicing, applicable VAT/sales tax and (for one-time purchases) refunds. We do not store or have access to your full payment card details. Orders are also subject to Paddle's Checkout Buyer Terms and to our Refund Policy.

3. USE OF THE WEBSITE

3.1 Permitted Use

You may use this Website for lawful, personal, non-commercial purposes, or to learn about Perfect Paradox Ltd and its products. You may not use this Website in any way that causes, or may cause, damage to the Website or impairment of its availability.

3.2 Prohibited Conduct

You agree not to:

  • — (a) Use the Website for any unlawful or fraudulent purpose;
  • — (b) Attempt to gain unauthorised access to our servers, systems, or networks;
  • — (c) Use automated tools (bots, scrapers, spiders) to access the Website beyond reasonable use;
  • — (d) Introduce any viruses, trojans, worms, or other malicious code;
  • — (e) Attempt to interfere with the proper functioning of the Website;
  • — (f) Copy, reproduce, or redistribute the Website content except as permitted by these Terms.

4. SOFTWARE LICENCES & ONE-TIME PURCHASES

This Section applies to our buy-once Mac apps (including Cloud AI "bring your own key" and Local apps) and our self-hosted software. It does not apply to our hosted subscription services, which are governed by Section 11.

4.1 Licence

When you purchase a one-time app or self-hosted product, we grant you a non-exclusive, non-transferable licence to use that software in accordance with its EULA. Each product's specific EULA controls the scope of that licence (number of devices, permitted uses, restrictions).

4.2 Your data stays with you

For Cloud AI "bring your own key" apps, the software connects to a third-party AI provider using your own API key; your data is sent directly to that provider on your instructions and never passes through Perfect Paradox. For Local apps, your files remain on your device. For Self-hosted software, your data remains on your own infrastructure. In each case, Perfect Paradox does not host, receive, or process that data.

4.3 Updates and refunds

Update availability for one-time purchases is described per product. Refunds for one-time purchases are handled by Paddle as Merchant of Record in accordance with our Refund Policy and applicable consumer law. Refund terms for hosted subscriptions are set out separately in Section 11.

5. INTELLECTUAL PROPERTY

5.1 Ownership

All content on this Website, including text, graphics, logos, icons, images, code, and design (collectively, "Content"), and all software we provide, is the property of Perfect Paradox Ltd (excluding base third-party AI models and open-source components) and is protected by copyright, trademark, and other intellectual property laws of the United Kingdom and international treaties.

5.2 Trademarks

"Perfect Paradox", the Perfect Paradox logo (Impossible Cube), "Monolith Protocol", "C0RTEX" and "SYN4PSE" are trademarks of Perfect Paradox Ltd (registration pending with UKIPO). Unauthorised use is prohibited.

5.3 Limited Permission

You may view, download, and print pages from this Website for your own personal, non-commercial use, provided you do not modify the content and you retain all copyright and proprietary notices. Any other use requires our prior written consent.

6. WEBSITE DISCLAIMERS

This Section concerns this Website only. It does not set the service levels or warranties for our paid hosted services, which are addressed in Section 11.

6.1 "As Is" Basis (Website)

This Website and its content are provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. This disclaimer applies to the Website itself and does not limit any statutory rights you have in respect of products you purchase, nor the commitments we make for hosted services under Section 11.

6.2 Accuracy of Information

While we endeavour to keep information on this Website accurate and up-to-date, we make no representations or warranties about the completeness, accuracy, reliability, or suitability of the information. Product descriptions, features, and pricing on this Website are for general information only and may change without notice.

6.3 External Links

This Website may contain links to third-party websites. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party sites. Links do not imply endorsement.

7. LIMITATION OF LIABILITY

7.1 Exclusion of Liability

To the maximum extent permitted by applicable law, Perfect Paradox Ltd shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from your use of, or inability to use, this Website, including any errors, omissions, or interruptions in content or availability. Liability arising in connection with our hosted subscription services is governed by Section 11.

7.2 Consumer Rights

Nothing in these Terms excludes or limits liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; or (c) any liability that cannot be excluded or limited under applicable law, including the Consumer Rights Act 2015.

8. PRIVACY

Your use of this Website is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal data. For hosted subscription services, Perfect Paradox acts as a data processor and the applicable Data Processing Agreement is referenced in Section 11.

9. CHANGES TO THESE TERMS

We may revise these Terms at any time by updating this page. The "Last Updated" date at the top indicates the most recent revision. Your continued use of the Website after changes are posted constitutes acceptance of the updated Terms. Changes that materially affect an active hosted subscription are notified in accordance with Section 11.

10. GOVERNING LAW AND DISPUTES

10.1 Governing Law

These Terms are governed by and construed in accordance with the laws of Northern Ireland and the applicable laws of the United Kingdom.

10.2 Jurisdiction

Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Northern Ireland, unless you are a consumer, in which case you may bring proceedings in the courts of your country of residence.

11. HOSTED SERVICES TERMS (SUBSCRIPTION)

This Section applies to services that Perfect Paradox hosts and operates for you on a private, isolated instance ("Hosted Services"), such as C0RTEX (web chat assistant) and SYN4PSE (voice service — "coming soon"). The "as is / as available" disclaimer in Section 6 is for this Website only and does not govern your expectations of a paid Hosted Service; this Section and the product-specific documents referenced below do.

11.1 Product-specific terms prevail

Each Hosted Service has its own dedicated documents that govern its use in detail, including service terms and a Data Processing Agreement. For C0RTEX, these are the C0RTEX Hosted Services Terms and the C0RTEX Data Processing Agreement (DPA). Those documents prevail over this Section in the event of any conflict. We do not duplicate them here.

11.2 Billing cycle and automatic renewal

Hosted Services are sold on a monthly subscription billed in advance through Paddle. Subscriptions renew automatically each month until cancelled. Plan inclusions, limits, and current prices are shown on our pricing page and may be updated from time to time. Prices are stated exclusive of any applicable taxes; the final amount charged (including VAT) is determined and displayed at checkout by Paddle.

11.3 Free trial

Where offered, we provide a 14-day free trial. Unless you cancel before the end of the trial, your subscription will automatically convert to a paid plan and the first payment will be taken. One trial per Customer unless we agree otherwise. We may modify or withdraw trial terms at any time.

11.4 Cancellation

You may cancel at any time through your account or by contacting info@perfectparadox.co.uk (or the dedicated support address for the relevant Hosted Service). Cancellation takes effect at the end of the current billing period; you retain access until then. Except where required by law or expressly stated, subscription fees are non-refundable and we do not provide pro-rata refunds for partial periods.

11.5 Paddle as Merchant of Record

Subscription payments are processed by Paddle, which acts as the Merchant of Record (reseller). By subscribing you also agree to Paddle's buyer terms. Paddle is responsible for handling the transaction, issuing invoices/receipts, and collecting and remitting applicable sales taxes/VAT. Perfect Paradox does not store or have access to your full payment card details.

11.6 Price changes

We may change subscription prices on at least thirty (30) days' notice. Changes take effect at the start of the next billing cycle after the notice period. Continued use after the change takes effect constitutes acceptance; if you do not accept, you may cancel before the change applies.

11.7 Availability and suspension

We will use commercially reasonable efforts to keep Hosted Services available, but they are provided without a formal uptime guarantee unless a separate written Service Level Agreement applies. We may carry out scheduled or emergency maintenance and will use reasonable efforts to minimise disruption. We may suspend or restrict the Service where required for security, legal compliance, non-payment, or to prevent harm, as set out in the applicable product terms.

11.8 Data protection — we act as processor

For data processed within a Hosted Service instance, you are the data controller and Perfect Paradox is the data processor, processing such data on your documented instructions to provide the Service. The applicable Data Processing Agreement (for C0RTEX, the C0RTEX DPA) forms part of these Terms, applies automatically, and addresses sub-processors, international transfers, security, assistance with data-subject rights, and deletion or return of data on termination, as required by Article 28 of the UK GDPR. Perfect Paradox does not sell your data and does not use it to train general-purpose AI models.

11.9 SYN4PSE and PECR

SYN4PSE involves call handling, call recording, and speech-to-text transcription and is not yet generally available. Its use will be subject to additional terms, including additional data-processing and consent requirements (e.g. under the Privacy and Electronic Communications Regulations 2003 ("PECR")). These Terms do not grant any right to use SYN4PSE.

12. GENERAL PROVISIONS

  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
  • Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
  • Order of precedence: For Hosted Services, the product-specific terms and DPA referenced in Section 11 prevail over this Section; otherwise these Terms govern.
  • Entire Agreement: These Terms, together with the Privacy Policy, the applicable EULA, and (for Hosted Services) the applicable product terms and DPA, constitute the entire agreement between you and Perfect Paradox Ltd regarding the subject matter.
